Terms of Service

1. Service Description

Commerce365 is an AI-powered e-commerce operations platform operated by Flatline Agency (Netherlands). The service provides automated analytics, agent-based workflows, and reporting for online merchants by connecting to third-party platforms such as Shopify, Klaviyo, Meta Ads, and Google Ads.

2. Account & Access

You must provide a valid email address and create an organization to use Commerce365. You are responsible for maintaining the security of your account credentials and for all activity under your account.

3. Pricing & Billing

• Commerce365 offers multiple subscription tiers (Starter, Growth, Agency) billed monthly via Stripe.
• Prices are displayed in euros and are exclusive of VAT where applicable.
• You may cancel your subscription at any time. Access continues until the end of the current billing period.
• We reserve the right to change pricing with 30 days advance notice.

4. Data Processing

By connecting third-party platforms, you authorize Commerce365 to access and process the data within the OAuth scopes you approve. We process this data solely to provide the service. See our Privacy Policy for details on data handling.

5. AI-Generated Content

Commerce365 uses AI (Anthropic Claude) to generate insights, summaries, and recommendations. AI-generated content is provided as-is and should not be treated as professional financial or legal advice. You are responsible for reviewing and validating any actions taken based on AI suggestions.

6. Acceptable Use

You agree not to:

• Use the service for any illegal purpose.
• Attempt to reverse-engineer, exploit, or abuse the platform.
• Exceed rate limits or circumvent usage restrictions.
• Share account credentials with unauthorized parties.

7. Limitation of Liability

Commerce365 is provided "as is" without warranties of any kind. To the maximum extent permitted by Dutch law:

• We are not liable for indirect, incidental, or consequential damages arising from your use of the service.
• Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.
• We are not responsible for actions taken by AI agents that you have approved or configured.

8. Availability

We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party providers.

9. Termination

• You may terminate your account at any time by contacting us.
• We may suspend or terminate accounts that violate these terms, with reasonable notice where possible.
• Upon termination, your data will be deleted in accordance with our Privacy Policy and Shopify GDPR requirements.

10. Governing Law

These terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent court in the Netherlands.
